These Terms of Service (“Terms”) govern your access to and use of the Zupply website, mobile applications, APIs and related services (collectively, the “Platform”).

The Platform is owned and operated by Zupply Technologies ( ACN 695 799 163)   (“Zupply”, “we”, “our”, or “us”).

By creating an account, accessing the Platform, or placing orders through the Platform, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Platform.

Nothing in these Terms excludes or limits your rights under the Australian Consumer Law.

1. Overview of the Platform

Zupply provides a digital platform that enables businesses to:

  • discover and purchase wholesale goods and services
  • manage suppliers and orders
  • communicate with suppliers
  • manage inventory and purchasing
  • access ERP and automation tools

Suppliers, wholesalers and service providers using the Platform are referred to as “Providers.”

Zupply acts as a technology platform only. Zupply is not the supplier, manufacturer, distributor or retailer of goods unless explicitly stated.

Any contract for goods or services purchased through the Platform is between the User and the Provider.

2. Eligibility

To use the Platform you must:

  • be at least 16 years old
  • have authority to act on behalf of a business (if using the Platform for business purposes)
  • provide accurate registration information

The Platform is intended primarily for business and wholesale use.

3. Accounts

To access certain features of the Platform you must create an account (“Account”).

You agree that:

  • each user may maintain only one Account
  • login credentials must be kept confidential
  • you are responsible for all activity under your Account
  • information provided to Zupply must remain accurate and up to date

Zupply may suspend or terminate Accounts that breach these Terms.

4. Platform Services

The Platform may provide tools including but not limited to:

  • product discovery
  • order placement and management
  • supplier communication
  • payments processing
  • logistics coordination
  • analytics and reporting
  • automation tools
  • AI-powered features

Zupply may modify, improve or discontinue Platform features at any time.

5. Marketplace Transactions

When a User places an order through the Platform (“Order”):

  1. The Order is submitted to the Provider.
  2. The Provider may accept or reject the Order.
  3. When accepted, a binding contract is formed between the User and the Provider.

Providers are solely responsible for:

  • product quality
  • fulfilment
  • delivery
  • warranties
  • regulatory compliance

Zupply is not responsible for the performance of Providers.

6. Pricing and Platform Fees

Providers set the pricing of goods and services listed on the Platform.

Zupply may charge:

  • platform fees
  • service fees
  • transaction commissions
  • subscription fees for premium services

Fees may be deducted automatically during transactions.

Zupply reserves the right to change its fee structure with reasonable notice.

7. Payments

Payments may be processed through third-party payment processors.

By using the Platform you agree that:

  • payment processing is handled by third parties
  • Zupply does not store full payment details
  • payment providers may apply their own terms

All prices are listed in Australian Dollars (AUD) unless otherwise stated.

8. Subscriptions and Paid Services

Some features of the Platform may require a paid subscription.

Subscriptions may include access to:

  • ERP tools
  • analytics
  • automation tools
  • integrations
  • AI services

Subscriptions may renew automatically unless cancelled before the renewal date.

Fees are non-refundable except where required by law.

9. AI Features

Zupply may offer artificial intelligence features including:

  • product recommendations
  • order automation
  • forecasting
  • messaging assistance
  • analytics insights

AI outputs are generated automatically and may not always be accurate.

Users remain responsible for verifying decisions based on AI outputs.

Zupply does not guarantee the accuracy or reliability of AI-generated results.

10. User Responsibilities

Users agree not to:

  • use the Platform for unlawful activities
  • submit misleading or fraudulent orders
  • attempt to access systems without authorisation
  • interfere with Platform security
  • upload harmful or malicious content

Zupply may investigate violations and suspend Accounts where necessary.

11. Reviews and Content

Users may submit reviews, comments or other content (“User Content”).

You grant Zupply a worldwide, royalty-free licence to use, display and distribute User Content.

User Content must not:

  • contain unlawful material
  • infringe intellectual property rights
  • contain abusive or harmful content

Zupply may remove content that breaches these Terms.

12. Intellectual Property

All intellectual property rights in the Platform including:

  • software
  • databases
  • algorithms
  • branding
  • design
  • content

are owned by or licensed to Zupply.

You may not copy, reverse engineer, reproduce or distribute any part of the Platform without written permission.

13. Data Usage

By using the Platform, you grant Zupply the right to:

  • store and process your data to operate the Platform
  • analyse aggregated usage data
  • improve services and features

Zupply will handle personal information in accordance with its Privacy Policy.

14. Platform Availability

Zupply aims to provide reliable services but does not guarantee uninterrupted access.

The Platform may be unavailable due to:

  • maintenance
  • upgrades
  • technical failures
  • third-party service disruptions

Zupply may change or discontinue features without liability.

15. Limitation of Liability

To the maximum extent permitted by law, Zupply is not liable for:

  • losses arising from Provider transactions
  • business interruption
  • loss of profits
  • indirect or consequential damages

Where liability cannot be excluded, Zupply’s total liability is limited to the amount paid by the User to Zupply in the preceding 12 months.

16. Indemnity

You agree to indemnify and hold harmless Zupply and its employees, directors and agents against any claims arising from:

  • breach of these Terms
  • misuse of the Platform
  • content submitted by you

17. Suspension and Termination

Zupply may suspend or terminate Accounts if users:

  • breach these Terms
  • engage in fraudulent activity
  • create risk or liability for Zupply or other users

Users with terminated Accounts must not create new Accounts without permission.

18. Third Party Services

The Platform may integrate with third-party services such as:

  • payment processors
  • logistics providers
  • accounting systems
  • marketing platforms

Zupply is not responsible for third-party services.

19. Changes to the Terms

Zupply may update these Terms from time to time.

If changes are material, Zupply will provide reasonable notice.

Continued use of the Platform after changes constitutes acceptance of the updated Terms.

20. Governing Law

These Terms are governed by the laws of New South Wales, Australia.

You submit to the exclusive jurisdiction of the courts of New South Wales.

This version adds protection for Zupply including:

  • SaaS platform terms
  • subscription billing
  • AI feature disclaimers
  • platform fees
  • data usage rights
  • liability caps
  • marketplace separation (User ↔ Provider)
